ICC endorses UNCITRAL Convention on the Assignment of Receivables in International Trade

The International Chamber of Commerce has announced its endorsement of the United Nations Convention on the Assignment of Receivables in International Trade.

The ICC Executive Board endorsed the Convention at its 146th World Council Session held in New York on 19-20 November 2014, upon recommendation by the ICC Banking Commission’s Executive Committee and the Legal Committee.

ICC supports the Convention’s purpose to establish principles and rules to create clarity and transparency in the legal regime applicable to the assignment of international receivables. ICC also aligns itself with the Convention’s objective to promote the modernization of the law relating to assignments of receivables, while protecting existing assignment practices and facilitating the development of new practices.

ICC bank and firm members have reported situations where financings had to be reviewed or abandoned as a result of laws considering the assignment of future receivables or bulk assignments of receivables as ineffective. ICC welcomes the Convention’s validation of assignments of future receivables and bulk assignments, invalidating contractual limitations to the assignment of receivables, and offering clear rules as to priority between competing claims. As such, ICC expects the Convention to remove legal obstacles to receivables financing transactions.

ICC shares a common goal with the United Nations Commission on International Trade Law (UNCITRAL) in striving to remove obstacles for international trade and considers the Convention to be a major step towards the globalization of asset-based lending.

ICC has a long history of providing needed international leadership in the field of international banking operations, particularly as a forum for developing rules of practice. Since 1933, the Uniform Customs and Practice for Documentary Credits (UCP), in its various revisions, has become a universally recognized standard, stating and establishing custom and practice for letters of credit.

Through endorsement of the subsequent UCP versions, UNCITRAL provided an important bridge to those countries that were, at the time, unable to participate directly in the work of ICC. Other ICC rules, such as Incoterms© Rules, have also been endorsed by UNCITRAL, contributing to their international acceptance.

To Boldly Go, Part II: Data as the CISG’s Next (but Probably Not Final) Frontier

The United Nations Convention on Contracts for the International Sale of Goods (‘CISG’) is an international sales law treaty concluded in 1980 and drafted with traditional (physical) goods trade in mind. While a significant body of scholarship has addressed its capacity to govern electronic software transactions, only limited commentary has explored the CISG’s digital application beyond software per se. ‘To Boldly Go, Part I’, this article’s counterpart, developed a specific legal framework for assessing the CISG’s capacity to regulate international trade in non-software data. This article now applies that framework, confirming the CISG is capable of governing non-software data trade, and uses that framework to resolve the currently unsettled question of whether cryptocurrency trade falls within the CISG’s scope. Since non-software data trade is becoming increasingly economically important, this article’s conclusions stand to benefit data traders as well as the practitioners advising them.

On December 10, 2014, the United Nations General Assembly adopted the United Nations Convention on Transparency in Treaty-based Investor-State Arbitration, also known as the Mauritius Convention on Transparency, which was prepared by the United Nations Commission on International Trade Law (UNCITRAL). The Mauritius Convention is intended to provide states with an efficient mechanism for applying the UNCITRAL Rules on Transparency in Treaty-based Investor-State Arbitration (Transparency Rules) in investor-state arbitrations arising under investment treaties concluded before the Transparency Rules’ effective date of April 1, 2014. The Mauritius Convention was opened for signature on March 17, 2015, in Port Louis, Mauritius.

This chapter is devoted to international receivables financing and to two instruments in particular: the 1988 UNIDROIT Convention on international factoring and the 2001 UN Convention on the assignment of receivables in international trade. Factoring is particular form of receivables financing and the UNIDROIT Convention is confined to factoring involving notification to the debtor. The chapter explains the concept of factoring, the genesis of the Convention, and its sphere of application, connecting factor and principal provisions. The UN Convention is much broader, covering both the international assignment of receivables and the assignment of international receivables, and it combines substantive provisions with conflict of laws rules. The chapter describes the sphere of application of the UN Convention and its key provisions. Both conventions contain provisions overriding contractual restrictions on assignment. The chapter also examines the duties of the debtor and the conflict rules applicable to the priority of competing assignments.
