How should I deal with an assignment that has been made in breach of the lease, if the landlord now wants to regularise the position?

Landlord’s rights and remedies.

An unauthorised assignment is a once and for all breach of covenant which would entitle the landlord to forfeit the lease (see Practice Notes: Landlord’s remedies for assigning or underletting without consent and Forfeiture of a lease See also: Assignment and underletting—overview). However, it appears from your query that the landlord does not wish to take this route and so is willing to waive his right to forfeit (if indeed the right to forfeit has not already been waived).

A landlord waives its right to forfeit a lease if it unequivocally affirms the existence of the lease, in full knowledge that the tenant has committed a breach of covenant (section 146 of the Law of Property Act 1925 (LPA 1925), Thomas v Ken Thomas ). The grant of a licence to assign with knowledge of the breach will operate as an affirmation of the lease and will waive any right to forfeit. See Practice

Q&a: clarifying inclusion and exclusion notes.

Q: Can you please clarify these 3 areas in the DRG Expert for me? Inclusion notes Exclussion1 notes Exclussion2 notes and how that translates in the coding world?

A: First, let’s talk about the DRG Expert . The DRG Expert is a resource for understanding the methodology of DRG assignment and is not a code book. The terms you are specifically asking about refers to “coding conventions” which can be found in the alphabetical and/or tabular lists within a code book under specific the ICD 10 codes .  The definitions of the coding conventions can also be located in the 2020 Official Coding Guidelines , which I will outline below in the answers for each term you are asking about.

“Inclusions and exclusions,” are terms used in ICD-10-CM code assignment and can be found in the Alphabetical Index and/or Tabular Lists within the code set. Coding conventions, or the rules governing code assignment can be found in the Official Guidelines for Coding and Reporting , and are outlined below:

Inclusion Terms: These are alternate ways a provider can document condition(s) or terms that will map to the same code. The definition can be found under number 11, pg. 10, of the rules governing code assignment can be found in the Official Guidelines for Coding and Reporting, which reads:

Inclusion Terms are a “list of terms is included under some codes. These terms are the conditions for which that code is to be used. The terms may be synonyms of the code title, or, in the case of “other specified” codes, the terms are a list of the various conditions assigned to that code. The inclusion terms are not necessarily exhaustive. Additional terms found only in the Alphabetic Index may also be assigned to a code.”

Excludes 1 Notes: Indicates that an excluded code should never be used at the same time as the code listed above the Exclude1 note used . The definition can be found under number 12A, pg. 11, and reads:

“A type 1 Excludes note is a pure excludes note. It means “NOT CODED HERE!” An Excludes1 note indicates that the code excluded should never be used at the same time as the code above the Excludes1 note. An Excludes1 is used when two conditions cannot occur together, such as a congenital form versus an acquired form of the same condition.

“An exception to the Excludes1 definition is the circumstance when the two conditions are unrelated to each other. If it is not clear whether the two conditions involving an Excludes1 note are related or not, query the provider.”

Excludes 2 Notes:  Indicates that the condition excluded is not part of the condition represented by the code, but a patient may have both conditions at the same time. The definition can be found under 12b, pg. 11, and reads:

“A type 2 Excludes note represents “Not included here.” An excludes2 note indicates that the condition excluded is not part of the condition represented by the code, but a patient may have both conditions at the same time. When an Excludes2 note appears under a code, it is acceptable to use both the code and the excluded code together, when appropriate.”

Don't Sign Your Life Away

Authorised Guarantee Agreements (AGA) were introduced by the Landlord and Tenant (Covenants) Act 1995 (the 1995 Act) and sought to strike a balance between the uncertainty of liability of a tenant who assigns a lease and the protection of the landlord if the tenant assigns to a party who is not particularly acceptable to the landlord.

Under the terms of an Authorised Guarantee, the outgoing tenant guarantees that the incoming tenant (the assignee) will perform all the obligations in the lease. If the tenant were to assign then the tenant would be responsible for the assignee’s breach of lease. There are provisions for the tenant to make payment of rents and fulfil lease obligations i.e. repairs if the assignee does not. Further, there may be provisions that if the assignee falls into bankruptcy and the lease is disclaimed by its trustee, the tenant has an obligation to take a new lease for the remainder of the term.

By virtue of section 5 of the 1995 Act, a tenant is released from all the tenant covenants of a lease if it assigns the lease, provided that the assignment is not in breach of covenant or an assignment by operation of law. A landlord may require a tenant to enter into an AGA in any lease completed on or after January 1 st 1996. See below to see if you are liable to enter into an AGA.

1. Do I have to enter into an AGA?

  • If the lease contains an absolute covenant against assignment, it is always lawful for the landlord to insist that an AGA is entered into.
  • If there is a qualified covenant against assignment, preventing the tenant from assigning the lease without the landlord’s consent, the landlord may only lawfully insist upon the tenant entering into an AGA if it has specified is as an express condition for assignment.
  • If the landlord has not specified an AGA as an express condition of assignment, it may still pose such a requirement if it is reasonable to do so.

2. May a landlord automatically insist on an AGA?

The landlord may only automatically insist that the tenant enters into an AGA if the lease expressly makes it an absolute condition of assignment. If the lease states that the landlord ‘may’ require an AGA ‘where reasonable’ the landlord cannot automatically insist on an AGA.

If the landlord cannot automatically insist upon an AGA you should then carefully consider the circumstances in which the landlord can require an AGA. The Landlord Code states that an AGA should not be required unless the ‘proposed assignee…is of lower financial standing than the assignor… or is resident or registered overseas’. That said the Landlord Code is not compulsory or legally binding and a landlord cannot be forced to comply with it. If the landlord cannot automatically specify an AGA they must show that it is reasonable to do so. The question of reasonableness and therefore lawfulness, is judged against the criteria set out in International Fluid Drilling Limited v Louisville Investments [1988].

3. When will I be released from my obligations under the AGA?

  • Any variations of the lease which may prejudice the tenant
  • Any indulgence or concessions granted by the landlord
  • A surrender of part
  • The release of a co-guarantor.

If the landlord and the assignee negotiate variations to the lease which affect the legal estate, i.e an addition to the demise or an extension to the term, this is deemed to be a surrender and re-grant of the lease. This would release any guarantor from their liability under an AGA.

4. What am I liable for under an AGA?

There is no set form for an AGA, although the 1995 Act does set out what certain characteristics which an AGA must have and also certain characteristics which it cannot have. Therefore you will be liable for whatever the AGA expressly provides for, unless your liability is limited by statute. The purpose of an AGA is to guarantee that the assignee will perform the tenant covenants of the lease. Therefore you are likely to be required to pay rent arrears should they arise, including service charge arrears and arrears of buildings insurance rent (referred to as a Fixed Charge in the 1995 Act). You are also likely to be required to perform any tenant covenants which the assignee has failed to perform. You may be required to enter into a new tenancy for the remainder of the term, if the assignee becomes bankrupt and the lease is disclaimed.

If you are required to pay a fixed charge the landlord must serve upon you a default notice within six months of the sum becoming due in order for you to be liable for such sum.

5. If I am asked to enter into an AGA, what precautions should I take?

  • Check if the landlord has the right to automatically require you to enter into an AGA
  • If the landlord does not have the automatic right to require you to enter into an AGA ensure that he is acting reasonably by requiring you to enter into an AGA
  • Ensure the AGA does not contain provisions extending your liability past the contractual term
  • Obtain a covenant and indemnity from the assignee that they will not allow an ‘excluded assignment’ i.e an assignment in breach of the lease
  • Ascertain if there has been any variation of the terms of the lease, surrenders of part, as these may release you from liability
  • Ensure that the landlord has served a default notice within six months of default if the landlord demands a fixed charge.

Medicare Assignment: Everything You Need to Know

Frequently Asked Questions

Medicare assignment is an agreement between Medicare and medical providers (doctors, hospitals, medical equipment suppliers, etc.) in which the provider agrees to accept Medicare’s fee schedule as payment in full when Medicare patients are treated.

This article will explain how Medicare assignment works, and what you need to know in order to ensure that you won’t receive unexpected bills.

fizkes / Getty Images

There are 35 million Americans who have Original Medicare. Medicare is a federal program and most medical providers throughout the country accept assignment with Medicare. As a result, these enrollees have a lot more options for medical providers than most of the rest of the population.

They can see any provider who accepts assignment, anywhere in the country. They can be assured that they will only have to pay their expected Medicare cost-sharing (deductible and coinsurance, some or all of which may be paid by a Medigap plan , Medicaid, or supplemental coverage provided by an employer or former employer).

It’s important to note here that the rules are different for the 29 million Americans who have Medicare Advantage plans. These beneficiaries cannot simply use any medical provider who accepts Medicare assignment.

Instead, each Medicare Advantage plan has its own network of providers —much like the health insurance plans that many Americans are accustomed to obtaining from employers or purchasing in the exchange/marketplace .

A provider who accepts assignment with Medicare may or may not be in-network with some or all of the Medicare Advantage plans that offer coverage in a given area. Some Medicare Advantage plans— health maintenance organizations (HMOs) , in particular—will only cover an enrollee’s claims if they use providers who are in the plan's network.

Other Medicare Advantage plans— preferred provider organizations (PPOs) , in particular—will cover out-of-network care but the enrollee will pay more than they would have paid had they seen an in-network provider.

Original Medicare

The bottom line is that Medicare assignment only determines provider accessibility and costs for people who have Original Medicare. People with Medicare Advantage need to understand their own plan’s provider network and coverage rules.

When discussing Medicare assignment and access to providers in this article, keep in mind that it is referring to people who have Original Medicare.

How to Make Sure Your Provider Accepts Assignment

Most doctors, hospitals, and other medical providers in the United States do accept Medicare assignment.

Provider Participation Stats

According to the Centers for Medicare and Medicaid Services, 98% of providers participate in Medicare, which means they accept assignment.

You can ask the provider directly about their participation with Medicare. But Medicare also has a tool that you can use to find participating doctors, hospitals, home health care services, and other providers.

There’s a filter on that tool labeled “Medicare-approved payment.” If you turn on that filter, you will only see providers who accept Medicare assignment. Under each provider’s information, it will say “Charges the Medicare-approved amount (so you pay less out-of-pocket).”

What If Your Provider Doesn’t Accept Assignment?

If your medical provider or equipment supplier doesn’t accept assignment, it means they haven’t agreed to accept Medicare’s approved amounts as payment in full for all of the services.

These providers can still choose to accept assignment on a case-by-case basis. But because they haven’t agreed to accept Medicare assignment for all services, they are considered nonparticipating providers.

Note that "nonparticipating" does not mean that a provider has opted out of Medicare altogether. Medicare will still pay claims for services received from a nonparticipating provider (i.e., one who does not accept Medicare assignment), whereas Medicare does not cover any of the cost of services obtained from a provider who has officially opted out of Medicare.

If a Medicare beneficiary uses a provider who has opted out of Medicare, that person will pay the provider directly and Medicare will not be involved in any way.

Physicians Who Have Opted Out

Only about 1% of all non-pediatric physicians have opted out of Medicare.

For providers who have not opted out of Medicare but who also don’t accept assignment, Medicare will still pay nearly as much as it would have paid if you had used a provider who accepts assignment. Here’s how it works:

  • Medicare will pay the provider 95% of the amount they would pay if the provider accepted assignment.
  • The provider can charge the person receiving care more than the Medicare-approved amount, but only up to 15% more (some states limit this further). This extra amount, which the patient has to pay out-of-pocket, is known as the limiting charge . But the 15% cap does not apply to medical equipment suppliers; if they do not accept assignment with Medicare, there is no limit on how much they can charge the person receiving care. This is why it’s particularly important to make sure that the supplier accepts Medicare assignment if you need medical equipment.
  • The nonparticipating provider may require the person receiving care to pay the entire bill up front and seek reimbursement from Medicare (using Form CMS 1490-S ). Alternatively, they may submit a claim to Medicare on behalf of the person receiving care (using Form CMS-1500 ).
  • A nonparticipating provider can choose to accept assignment on a case-by-case basis. They can indicate this on Form CMS-1500 in box 27. The vast majority of nonparticipating providers who bill Medicare choose to accept assignment for the claim being billed.
  • Nonparticipating providers do not have to bill your Medigap plan on your behalf.

Billing Options for Providers Who Accept Medicare

When a medical provider accepts assignment with Medicare, part of the agreement is that they will submit bills to Medicare on behalf of the person receiving care. So if you only see providers who accept assignment, you will never need to submit your own bills to Medicare for reimbursement.

If you have a Medigap plan that supplements your Original Medicare coverage, you should present the Medigap coverage information to the provider at the time of service. Medicare will forward the claim information to your Medigap insurer, reducing administrative work on your part.

Depending on the Medigap plan you have, the services that you receive, and the amount you’ve already spent in out-of-pocket costs, the Medigap plan may pay some or all of the out-of-pocket costs that you would otherwise have after Medicare pays its share.

(Note that if you have a type of Medigap plan called Medicare SELECT, you will have to stay within the plan’s network of providers in order to receive benefits. But this is not the case with other Medigap plans.)

After the claim is processed, you’ll be able to see details in your MyMedicare.gov account . Medicare will also send you a Medicare Summary Notice. This is Medicare’s version of an explanation of benefits (EOB) , which is sent out every three months.

If you have a Medigap plan, it should also send you an EOB or something similar, explaining the claim and whether the policy paid any part of it.

What Is Medicare Assignment of Benefits?

For Medicare beneficiaries, assignment of benefits means that the person receiving care agrees to allow a nonparticipating provider to bill Medicare directly (as opposed to having the person receiving care pay the bill up front and seek reimbursement from Medicare). Assignment of benefits is authorized by the person receiving care in Box 13 of Form CMS-1500 .

If the person receiving care refuses to assign benefits, Medicare can only reimburse the person receiving care instead of paying the nonparticipating provider directly.

Things to Consider Before Choosing a Provider

If you’re enrolled in Original Medicare, you have a wide range of options in terms of the providers you can use—far more than most other Americans. In most cases, your preferred doctor and other medical providers will accept assignment with Medicare, keeping your out-of-pocket costs lower than they would otherwise be, and reducing administrative hassle.

There may be circumstances, however, when the best option is a nonparticipating provider or even a provider who has opted out of Medicare altogether. If you choose one of these options, be sure you discuss the details with the provider before proceeding with the treatment.

You’ll want to understand how much is going to be billed and whether the provider will bill Medicare on your behalf if you agree to assign benefits (note that this is not possible if the provider has opted out of Medicare).

If you have supplemental coverage, you’ll also want to check with that plan to see whether it will still pick up some of the cost and, if so, how much you should expect to pay out of your own pocket.

A medical provider who accepts Medicare assignment is considered a participating provider. These providers have agreed to accept Medicare’s fee schedule as payment in full for services they provide to Medicare beneficiaries. Most doctors, hospitals, and other medical providers do accept Medicare assignment.

Nonparticipating providers are those who have not signed an agreement with Medicare to accept Medicare’s rates as payment in full. However, they can agree to accept assignment on a case-by-case basis, as long as they haven’t opted out of Medicare altogether. If they do not accept assignment, they can bill the patient up to 15% more than the Medicare-approved rate.

Providers who opt out of Medicare cannot bill Medicare and Medicare will not pay them or reimburse beneficiaries for their services. But there is no limit on how much they can bill for their services.

A Word From Verywell

It’s in your best interest to choose a provider who accepts Medicare assignment. This will keep your costs as low as possible, streamline the billing and claims process, and ensure that your Medigap plan picks up its share of the costs.

If you feel like you need help navigating the provider options or seeking care from a provider who doesn’t accept assignment, the Medicare State Health Insurance Assistance Program (SHIP) in your state may be able to help.

A doctor who does not accept Medicare assignment has not agreed to accept Medicare’s fee schedule as payment in full for their services. These doctors are considered nonparticipating with Medicare and can bill Medicare beneficiaries up to 15% more than the Medicare-approved amount.

They also have the option to accept assignment (i.e., accept Medicare’s rate as payment in full) on a case-by-case basis.

There are certain circumstances in which a provider is required by law to accept assignment. This includes situations in which the person receiving care has both Medicare and Medicaid. And it also applies to certain medical services, including lab tests, ambulance services, and drugs that are covered under Medicare Part B (as opposed to Part D).

In 2021, 98% of American physicians had participation agreements with Medicare, leaving only about 2% who did not accept assignment (either as a nonparticipating provider, or a provider who had opted out of Medicare altogether).

Accepting assignment is something that the medical provider does, whereas assignment of benefits is something that the patient (the Medicare beneficiary) does. To accept assignment means that the medical provider has agreed to accept Medicare’s approved fee as payment in full for services they provide.

Assignment of benefits means that the person receiving care agrees to allow a medical provider to bill Medicare directly, as opposed to having the person receiving care pay the provider and then seek reimbursement from Medicare.

List Azure deny assignments

  • 4 contributors

Similar to a role assignment, a deny assignment attaches a set of deny actions to a user, group, or service principal at a particular scope for the purpose of denying access. Deny assignments block users from performing specific Azure resource actions even if a role assignment grants them access.

This article describes how to list deny assignments.

You can't directly create your own deny assignments. Deny assignments are created and managed by Azure.

How deny assignments are created

Deny assignments are created and managed by Azure to protect resources. You can't directly create your own deny assignments. However, you can specify deny settings when creating a deployment stack, which creates a deny assignment that is owned by the deployment stack resources. Deployment stacks is currently in preview. For more information, see Protect managed resources against deletion .

Compare role assignments and deny assignments

Deny assignments follow a similar pattern as role assignments, but also have some differences.

Deny assignment properties

A deny assignment has the following properties:

The All Principals principal

To support deny assignments, a system-defined principal named All Principals has been introduced. This principal represents all users, groups, service principals, and managed identities in a Microsoft Entra directory. If the principal ID is a zero GUID 00000000-0000-0000-0000-000000000000 and the principal type is SystemDefined , the principal represents all principals. In Azure PowerShell output, All Principals looks like the following:

All Principals can be combined with ExcludePrincipals to deny all principals except some users. All Principals has the following constraints:

  • Can be used only in Principals and cannot be used in ExcludePrincipals .
  • Principals[i].Type must be set to SystemDefined .

List deny assignments

How Do I Use Exceptions in My Gradebook?

You can add an exception to any Assignment, Discussion, Assessment, or Test/Quiz in your Schoology gradebook to denote that a student's submission is  Absent,   Collected ,  Exempt, Incomplete,  Missing  or  Late .

Adding Exceptions

To add an exception, point your mouse over the gradebook cell and click the flag that displays.

what is a excluded assignment

Select an exception from the menu to place the icon in the cell corresponding to a student's submission.

  • To remove an exception from your gradebook, click the exception icon, and deselect your exception from the menu.
  • Entering a score on a Collected item will automatically clear the flag. For all other exceptions, you must remove the flag before entering a score.
  • Collected exception code can be requested to be enabled for customers if it is not available to their district by contacting Support. Collected exception codes pass the status of Submitted with a score of zero for the material for some SIS integrations.
  • If an exception code is added after a score has been entered, the score will be cleared.

Absent, Exempt ,   Incomplete and  Late exceptions do not factor into the student's overall grade in Schoology. From a calculation perspective, marking a gradebook cell as  Absent,   Exempt,   Incomplete  or Late is the same as leaving it blank. Applying either does not penalize students or affect their overall grade.

The Exempt   and Incomplete icons simply serve as a reminder to the course admin that the student has either been excused or their submission is incomplete, to help avoid later confusion as to why that cell for that student is blank or unscored.

The Absent and Late exemptions also serve as a reminder that the student was either absent at the time of submission, or submitted the assignment late.

The Collected exception enables instructors to mark an item as Collected and enter a score at a later time since entering a score automatically clears the Collected flag.

The Collected icon serves as a reminder that the student has submitted an assignment but has yet to be graded.

what is a excluded assignment

In the screenshots above, the green circle with the white checkmark indicates that the student's assignment has been  Collected . The green icon indicates that the student is Exempt   from completing the assignment. The orange icon indicates the student made an Incomplete submission. The Excused and Incomplete cells contain null values, meaning that neither the possible points for this assignment nor the exception code are factored into the student's overall grade.

Marking a cell as Missing , however, does penalize the student's grade. Giving a student a Missing flag is the calculation equivalent to giving the student a zero. Selecting the Missing exception also adds a zero score in the cell:

what is a excluded assignment

This assignment has been marked Missing in the gradebook. This student has received a 0/100 on this assignment.

  • Course Administrators can disable the scoring of missing assignments as zeros by changing the Disable automatic scoring of missing exceptions as 0  setting in Grade Setup.
  • If you change this setting after any grades are entered for a course, it will affect all graded assignments for that course that have been marked as Missing.

Using Exceptions with Overdue Items

Marking an overdue item Absent,   Exempt , Late,   Missing or Collected removes the item from a student's Overdue notifications. Marking an overdue item Incomplete does not remove the item from a student's Overdue notifications.

The following scenarios explain how teachers can use exceptions to grade missing submissions and how it affects Overdue notifications:

  • Teacher A is accepting late submissions but does not want the grade calculation to reflect the missing assignment, so they should use the Incomplete exception flag. This way the student will receive Overdue notifications and their grade is not impacted.
  • Teacher B is not accepting late submissions and wants the grade calculation to reflect the missing assignment, so they should use the Missing exception flag. This way the student will see the impact of the missing assignment on their grade and they will not receive Overdue notifications.
  • Teacher C is no longer accepting submissions for the assignment but does not want the grade calculation to reflect the missing assignment, so they should use the Exempt   exception flag. This way the student will not receive Overdue notifications and their grade is not impacted.

Locking Assignments

Students are still able to make submissions to the item even if you have entered an exception code into the gradebook. You receive the same new assignment notifications as you normally do. If you would like to prevent students from making further submissions to an assignment, you can lock it by clicking on the gear icon to the right of the item and selecting Edit. In the Advanced row, click the Lock icon to lock down the assignment and prevent future submissions.

Using Exceptions with Auto-graded Tests/Quizzes

If a student completes an auto-graded test or quiz after you have added an exception–for example, if you mark it Missing but enable a student to make it up later–you can accept the auto-generated grade and override the exception directly from the cell in the gradebook.

A test that has an override available displays with a black dot on the Test icon in the upper-right corner of the cell.

To clear the exception and accept the score of the test, click the test icon, and select Update Grade in the window that displays. Select Keep Override to clear the new grade and remove the black dot from the test.

Select View Submission to open a new browser tab and review the student's test.

Using the Exempt Exception with Student Completion (Enterprise Only)

You can use the Exempt   exception to bypass materials on which you have set up student completion requirements. For example, if a student is absent and makes up a required assignment with a different make-up project, or a student is new to class and doesn't need to start at the beginning of a folder with completion rules.

Will Exceptions sync over to my SIS Gradebook? (Enterprise Only)

Use the table below to see how exceptions are passed back to your SIS.

  • Collected Only assignments will passback the Collected exception as long as it is consumed by other SIS integrations. Otherwise, it will passback an empty column with no grades.
  • If you are expecting your students' overall grades in Schoology to be calculated as similarly as possible to the calculation in your SIS gradebook, make sure you've configured your SIS gradebook to calculate blank cells as null values, rather than as zero.
  • For organizations using SIS apps that leverage the IMS Global OneRoster standard for grade passback—each SIS interprets and handles the OneRoster statuses differently. Reach out to your SIS contact directly to confirm the expected behavior in your system.

Removing Exceptions from the Gradebook

In situations where an exception has been applied to a graded item and you would like to remove that exception, you can do so by following these steps:

  • Enter the Gradebook.
  • Locate the item that currently has an exception mark.

Click the exception mark, and deselect it to remove it from the gradebook cell.

If you enter a score for an item marked as Exempt , Incomplete ,  Collected, Absent,  or  Late , the flag will automatically be removed.

Example of Changing the Eligibility for Performance Documents

This example PerformanceDocEligibility.dat file process eligibility for performance documents based on the person assignment and updates the eligibility status table. It prevents the eligibility of excluded assignments.

These rules apply when you process performance document eligibility using HDL:

  • It's run for all performance documents included in the PerformanceDocEligibility.dat file.
  • It can be used to change the existing eligibility of assignments. For example, it can change eligible to non eligible.
