Walmart to invest in Flipkart Group, India’s innovative e-commerce company

W almart Inc. (NYSE: WMT) announced it has signed definitive agreements to become the largest shareholder in Flipkart Group (“Flipkart”). The investment will help accelerate Flipkart’s customer-focused mission to transform commerce in India through technology and underscores Walmart’s commitment to sustained job creation and investment in India, one of the largest and fastest-growing economies in the world.

Subject to regulatory approval in India, Walmart will pay approximately $16 billion for an initial stake of approximately 77 percent in Flipkart, formally Flipkart Private Limited. The remainder of the business will be held by some of Flipkart’s existing shareholders, including Flipkart co-founder Binny Bansal, Tencent Holdings Limited, Tiger Global Management LLC and Microsoft Corp. While the immediate focus will be on serving customers and growing the business, Walmart supports Flipkart’s ambition to transition into a publicly-listed, majority-owned subsidiary in the future.

Founded in 2007, Flipkart has led India’s eCommerce revolution. The company has grown rapidly and earned customer trust, leveraging a powerful technology foundation, including artificial intelligence, and emerging as a leader in electronics, large appliances, mobile and fashion and apparel. In a market where Walmart expects eCommerce to grow at four times the rate of overall retail, and with well-known platforms such as Myntra, Jabong and PhonePe, Flipkart is uniquely positioned to leverage its integrated ecosystem, which is defined by localized service, deep insights into Indian customers and a best-in-class supply chain. Flipkart’s supply chain arm, eKart, serves more than 800 cities, making 500,000 deliveries daily.

In the fiscal year ended March 31, Flipkart recorded GMV of $7.5 billion and net sales of $4.6 billion representing more than 50 percent year-over-year growth in both cases. With the investment, Flipkart will leverage Walmart’s omni-channel retail expertise, grocery and general merchandise supply-chain knowledge and financial strength, while Flipkart’s talent, technology, customer insights and agile and innovative culture will benefit Walmart in India and across the globe.

While Walmart and Flipkart will leverage the combined strengths of both companies, they will maintain distinct brands and operating structures. Currently, Walmart India operates 21 Best Price cash-and-carry stores and one fulfillment center in 19 cities across nine states in India, with more than 95 percent of sourcing coming from India, aiding suppliers, creating skilled jobs and contributing to local economies across the country. Krish Iyer, president and chief executive officer of Walmart India, will continue to lead that part of the business.

With retail changing rapidly, Walmart is actively looking for new ways to serve customers and moving with speed. The Flipkart investment represents a unique opportunity, consistent with the approach of looking for innovative ways to grow domestically and internationally, particularly in markets with significant long-term opportunity. The Flipkart investment transforms Walmart’s position in a country with more than 1.3 billion people, strong GDP growth, a growing middle class and significant runway for smartphone, internet and eCommerce penetration.

Structure, Financial Implications and Other Details

Walmart’s investment includes $2 billion of new equity funding, which will help Flipkart accelerate growth in the future. Walmart and Flipkart are also in discussions with additional potential investors who may join the round, which could result in Walmart’s investment stake moving lower after the transaction is complete. Even so, the company would retain clear majority ownership. Tencent and Tiger Global will continue on the Flipkart board, joined by new members from Walmart. The final make-up of the board has yet to be determined, but it will also include independent members. The board will work to maintain Flipkart’s core values and entrepreneurial spirit, while ensuring it has strategic and competitive advantages.  Closing is expected later this calendar year, subject to regulatory approval. 

To finance the investment, Walmart intends to use a combination of newly issued debt and cash on hand. Upon closing, Flipkart’s financials will be reported as part of Walmart’s International business segment. If the transaction were to close at the end of the second quarter of this fiscal year, Walmart expects a negative impact to FY19 EPS of approximately $0.25 to $0.30, which includes incremental interest expense related to the investment.

In FY20, as it looks to accelerate growth in this important market, Walmart anticipates an EPS headwind in total of around $0.60 per share, comprised of:

  • Operating losses of approximately $0.40 to $0.45 per share, assuming minimal tax benefit for losses in the near to mid-term. This amount includes about $0.05 per share related to amortization of intangible assets and depreciation of short lived assets resulting from purchase accounting, which will only last for a few years post-closing.
  • Interest expense of approximately $0.15 per share.

Given the company’s financial strength, Walmart anticipates the continuation of its current share buyback program while maintaining its strong credit profile.

This investment represents a unique opportunity in a market with significant long-term growth prospects. Walmart is investing in a local leader with strong leadership and a culture of innovation and service, and the company is aligned with a strategic and committed shareholder group focused on serving customers. In the mid to long term, as the business scales and efficiencies are realized, Walmart expects losses to decline and returns to improve.

Partnering to Contribute to India

As Walmart scales in India, the company will continue to partner to create sustained economic growth across agriculture, food and retail. Future investments will support national initiatives and will bring sustainable benefits to the country, including:

  • Job creation , as plans would create jobs through development of supply chains, commercial opportunity and direct employment.
  • Supporting small business and ‘Make in India,’ through direct procurement as well as increased opportunities for exports through global sourcing and eCommerce. Among other initiatives, Walmart will partner with kirana owners and members to help modernize their retail practices and adopt digital payment technologies.
  • Support farmers and develop supply chains through local sourcing and improved market access.
  • Reduced food waste by improving waste management practices and investing in supply chains, especially cold storage.

Walmart Buying 77% Stake in Flipkart for $16B

Walmart Inc. ( WMT ) made it official, announcing Wednesday that it is paying $16 billion to acquire a 77% stake in Flipkart Group, one of India’s leading e-commerce players. The announcement puts to bed speculation over the deal, which was expected to be announced sometime this week. Walmart bested Amazon.com Inc. ( AMZN ), which had reportedly made a competing offer for the online retailer.  

In a press release the Bentonville, Arkansas retailer said the deal still needs the approval of regulators in India and that once it is complete it will own 77% of Flipkart with the remainder of the business being held by existing shareholders including Flipkart co-founder Binny Bansal, Tencent Holdings, Tiger Global Management and Microsoft Corp. ( MSFT ).  Walmart noted the company is supporting Flipkart’s eventual plans to become a publicly listed company. (See more: Flipkart Board Backs Walmart Offer Over Amazon .)

Walmart Could Bring in More Investors 

Flipkart to operate on its own.

Walmart and Flipkart plan to operate as distinct brands, with their own operating structures in India. Walmart India currently operates 21 Best Price cash and carry stores and fulfillment centers in nine states across the country. Walmart said that more than 95% of the sourcing for that business comes from India. Krish Iyer, president and chief executive officer of Walmart India, will continue to lead that part of the operations. “This investment is of immense importance for India and will help fuel our ambition to deepen our connection with buyers and sellers and to create the next wave of retail in India,” said Binny Bansal, Flipkart’s co-founder and group chief executive officer in the same press release. “While e-commerce is still a relatively small part of retail in India, we see great potential to grow.”

How the pandemic strengthened Walmart-owned Flipkart’s marketshare

Walmart’s U.S. gains over the last year have been huge — but so has its growth overseas. 

As India’s largest e-commerce platform, Walmart-owned Flipkart has gone toe-to-toe with Amazon. According to Forrester Research, by October 2020, Flipkart had 31.9% market share — making it the largest online retailer in India. Meanwhile, Amazon India is slightly behind in second, with a 31.2% market share. 

But this last year alone was huge for the Walmart-owned platform. Flipkart saw a nearly 50% increase in new users right after the initial pandemic lockdowns last year. The platform also experienced a 35% increase in onboarded sellers during 2020, compared to the previous year, according to a December announcement from the company.

This is all happening amid an e-commerce explosion in the country, though the majority of sales are still done offline. According to GlobalData’s estimate, India’s e-commerce market doubled between 2017 and 2020, with Flipkart and Amazon dominating the space. In 2020 alone, the country’s online commerce market hit $60.5 billion, and it’s expected to reach $111.3 billion by 2024. (Walmart acquired a majority stake in the startup for $16 billion in 2018.)

Flipkart is currently valued at $35 billion and is reportedly eyeing a U.S. IPO later this year. Behind the scenes, the startup has also been heavily investing in logistics and distribution, in turn helping Walmart further compete with Amazon. Most recently, Flipkart announced plans to open fulfillment centers to help sellers with delivery. And at the end of last year, Flipkart announced it was spinning off PhonePe, India’s largest mobile payments platform. The deal resulted in a $700 million funding round, led by Walmart, to scale its payment services.

The challenge that both Flipkart and Amazon face in India is that the country’s retail scene is fragmented. According to an October 2020 CB Insights report, almost 90% of India’s commerce is still done informally, via brick-and-mortar channels. These include corner stores, mom-and-pop shops and what’s known as kiranas, or small local markets.

Laura Kennedy, senior lead analyst at CB Insights, said that often in developing markets, “digitizing” isn’t just about creating e-commerce tools. “It’s also about bringing payments online and investing in the supply chain, which Walmart is doing,” she said.  The retailer is doing this via Flipkart’s marketplace growth efforts, as it increasingly competes with Amazon to digitize kiranas.

Like Amazon India, Flipkart’s retail business is increasingly reliant on onboarding hyperlocal merchants, mainly in small- and medium-sized cities. By September 2020, Flipkart had onboarded 50,000 additional kiranas in preparation for its annual “Big Billion Days” sale and India’s festival shopping season.

To cater to these local shops, Flipkart also launched its own business-to-business marketplace, Flipkart Wholesale, in August. The platform began by catering to fashion merchants and connecting them with local suppliers. More recently, Flipkart Wholesale expanded into home and grocery. The portal includes checkout financing options, as well as data-driven product recommendations that merchants can use as a guide when restocking their stores’ inventory.  

Walmart has also been heavily investing in its Indian warehousing capabilities via Flipkart. Earlier this year, Flipkart struck a deal with logistics giant Adani Group to build a 534,000-square-foot warehouse and data center. The deal is expected to help Walmart gain a bigger fulfillment presence in the country via Flipkart. According to Adani, the facility can hold up to 10 million units of inventory and is set to become operational in 2022.

For India’s retail scene, the big e-commerce competition revolves around bringing local shops online. Amazon has also been rapidly courting these retailers by helping kiranas establish an online presence . This strategy was at the heart of Amazon’s recent move to acquire Perpule , a startup that specializes in helping kirana stores move online.

Given the high density of kiranas in India, Mrigank Gutgutia, director at India-based RedSeer Consulting, said that big e-commerce players like Amazon have been aggressively partnering with these owners in the past year. Amazon, for example, has expanded its popular “I Have Space” program, which handles last-mile delivery. Through I Have Space, Amazon India partners with local shop owners, providing them with pickup and delivery services for customers within two to four kilometers of the store; on average, the program’s store partners deliver 30-40 packages a day and earn a flat fee per delivery. As of March 2021, the program covers 12,500 stores across 180 cities , up from 2,500 stores when it launched in 2015. 

Walmart clearly sees potential in India. Kennedy noted that Flipkart is one of the most prominent segments in Walmart’s international portfolio. For example, during its most recent investor day, Walmart had two presentations from Flipkart, “which didn’t happen in the past,” she said.

Despite its growth, Flipkart is still dealing with headwinds. In recent weeks, the marketplace was forced to pause delivery on all “non-essential” items , due to government guidelines and a new wave of coronavirus-related lockdowns. While Amazon India’s Prime Day will be delayed, this month Flipkart said it is helping sellers by waiving their storage and cancellation fees. The company is also providing marketplace merchants with insurance coverage, as coronavirus cases continue to ravage the region.

Venture capital, or VC, investment was off to a strong start in the second half of 2021, and transaction activity was particularly high in sectors such as e-commerce, automotive, financial technology, healthcare, and internet software and services as the pandemic rearranged priorities and accelerated the shift to the digital world.

Securing the biggest funding round in July was Walmart Inc.-owned Flipkart Pvt. Ltd., according to S&P Global Market Intelligence data.

The India-based e-commerce company pulled in $3.6 billion in a mature funding round co-led by SoftBank Investment Advisers (UK) Ltd.'s SoftBank Vision Fund 2, giving it a post-money valuation of $37.60 billion. Electric vehicle startup Rivian Automotive Inc. and sustainable infrastructure-focused specialty finance company Generate Capital Inc. grabbed the second and third spots, raising $2.50 billion and $2.00 billion, respectively.

Rounding out the top five VC transactions for the month are Chinese energy technology company Svolt Energy Technology Co. Ltd., which raised about $1.58 billion in series B financing, and e -learning software company Articulate Global LLC, which obtained $1.5 billion in series A financing at a post-money valuation of $3.75 billion. General Atlantic Service Co. LP led the round for Articulate, with participation from funds managed by The Blackstone Group Inc. unit Blackstone Growth Advisors LLC .

In addition to Articulate, a handful of other newly minted unicorns , or privately held companies that crossed the $1 billion valuation mark, announced funding rounds in July. A series B funding round backed by Thoma Bravo LLC and Insight Partners brought in $900 million for cryptocurrency exchange company FTX Trading at an $18 billion post-money valuation, while Blackstone's Horizon platform led a $350 million series D funding round for Carbon Health Medical Group Inc. Cyber insurance technology company At-Bay Inc. also ponied up $185 million in a series D funding round co-led by Icon Ventures and Lightspeed Venture Partners at a post-money valuation of $1.35 billion.

Continuing the strong momentum recorded in the first half of 2021, startups globally racked up roughly $63.12 billion across 1,598 funding rounds in July, more than doubling the approximately $27.53 billion they amassed during the same month a year earlier.

VC investors deployed approximately $306.98 billion in the first half, up 150.5% from about $122.55 billion in the same period in 2020.

Geographically, companies in North America secured approximately $31.83 billion across 578 funding rounds in July. Companies in Asia-Pacific garnered $20.44 billion in 552 funding rounds, while those in Europe drummed up about $8.17 billion across 368 transactions during the month.

Venture rounds accounted for the biggest share of VC transactions for the month at roughly $22.41 billion, followed by mature rounds at about $20.35 billion. Growth, early stage and debt rounds reached approximately $19.17 billion, $1.04 billion and $155.1 million, respectively.

Brokerage analysts are in charge of determining a company's growth and profitability expectations, or earnings estimates. These analysts work together with company management to evaluate all factors that may affect future earnings, like interest rates, the economy, and sector and industry optimism.

Investors also need to look at what a company will earn down the road. This is why earnings estimate revisions are so important.

When a stock receives upward earnings estimate revisions, it will likely get even more positive changes in the future. For instance, if an analyst raised their earnings outlook last month, they'll probably do so again this month, and other analysts will follow.

Victor M. Mukhin was born in 1946 in the town of Orsk, Russia. In 1970 he graduated the Technological Institute in Leningrad. Victor M. Mukhin was directed to work to the scientific-industrial organization "Neorganika" (Elektrostal, Moscow region) where he is working during 47 years, at present as the head of the laboratory of carbon sorbents.     Victor M. Mukhin defended a Ph. D. thesis and a doctoral thesis at the Mendeleev University of Chemical Technology of Russia (in 1979 and 1997 accordingly). Professor of Mendeleev University of Chemical Technology of Russia. Scientific interests: production, investigation and application of active carbons, technological and ecological carbon-adsorptive processes, environmental protection, production of ecologically clean food.
